Terms of Service

1. Who we are

In these terms, “we”, “us” and “the company” mean UAB Darvilis; “you” means a visitor to our website or an authorised user of our internal system.

2. What these terms cover

These terms govern the use of:

• the public website at darvilis.lt; and
• Darvilis Orders, the company’s internal order-management and accounting system, hosted at orders.darvilis.lt.

They do not replace commercial agreements. Sales, supply and logistics are governed by the separate written contracts, proforma invoices and invoices agreed with each customer or supplier; in case of conflict, those documents prevail over these terms.

3. The website

The website presents information about our business. Its content is informational and does not constitute a binding offer. Product availability, specifications, prices, lead times and delivery terms are binding only when confirmed by us in writing in an offer, proforma invoice or contract. We may change the website’s content at any time.

4. Darvilis Orders — internal system

Darvilis Orders is an internal business system of UAB Darvilis. It is not a public or consumer service: there is no self-registration, and it is not offered to third parties as a product.

• Access is granted only to named users authorised by the company’s management — employees and, where a business relationship requires it, designated representatives of partners.
• Access rights are role-based; some users are limited to read-only access.
• Access is personal and may not be shared, transferred or delegated. We may suspend or withdraw it at any time, in particular when a person’s role in the company or partnership ends.

5. Bank account information

Darvilis Orders reconciles payments against orders and invoices. For that purpose it may connect to bank accounts held by UAB Darvilis through the account information service of Enable Banking Oy (Finland), an account information service provider authorised and supervised by the Finnish Financial Supervisory Authority (Finanssivalvonta) under PSD2.

• The connection is created only after an authorised representative of the company gives explicit consent by strong customer authentication in the bank’s own channel.
• You may authorise only accounts you are entitled to represent.
• The access is read-only: account details, balances and transaction records. The system cannot initiate, modify or cancel payments.
• Consent given at the bank is time-limited (up to 180 days with the bank we use) and must be renewed; it can be withdrawn at any time in the bank’s channel or by writing to info@darvilis.lt.
• Data obtained through this connection is used solely for payment reconciliation and bookkeeping, as described in our Privacy Policy.

Enable Banking Oy provides the connection to the banks; the relationship between you and your bank continues to be governed by your agreement with that bank.

6. Your obligations as a user

• Keep your credentials confidential and do not share your account.
• Use the system only for the company’s business purposes and only within your assigned role.
• Notify us immediately at info@darvilis.lt if you suspect unauthorised access or loss of credentials.
• Do not attempt to circumvent access controls, probe or disrupt the service, or extract data by automated means without our written permission.
• Treat commercial, financial and personal data you see in the system as confidential and do not disclose it outside the company without authorisation.

7. Availability and support

The website and the system are provided on an “as available” basis. We do not guarantee uninterrupted operation: access may be limited by maintenance, updates, or failures of third-party services such as hosting providers, banks or the account information service. We aim to restore service promptly and to schedule planned maintenance outside working hours.

8. Intellectual property

The website, the Darvilis Orders application, their content, design and underlying software belong to UAB Darvilis or are used under licence. You may not copy, modify, distribute or reverse-engineer them, except as permitted by mandatory law or by our prior written consent.

9. Liability

To the extent permitted by applicable law, we are not liable for indirect or consequential loss, loss of profit or loss of data arising from the use of the website or the system, or from the unavailability of either. Nothing in these terms limits liability for intent or gross negligence, for damage to life or health, or for any liability that cannot be excluded or limited under Lithuanian law.

You are liable for damage caused by use of the system in breach of these terms, including unauthorised disclosure of data.

10. Changes to these terms

We may amend these terms as our services or legal obligations change. The current version is always published on this page with its effective date, and takes effect when published. Continued use of the website or the system after publication means you accept the amended terms; users of the internal system will be informed of material changes.

11. Governing law and disputes

These terms are governed by the law of the Republic of Lithuania. We seek to resolve any dispute by negotiation; if that fails, disputes are settled by the courts of the Republic of Lithuania according to the company’s registered address, unless mandatory law requires another forum.
